Looks like a distraction strategy while setting the foundation for several challenges about Oliver. If Oliver is elected its going to be a circus that could head to the courts. Note how the strategy of TPL has shifted from “elect the four star good governance general” to bashing Oliver.
The trustees have been quiet all week until today. The new strategy may be based on polling data, and they realize Oliver has the votes. Therefore they need to position themselves with a scavenger hunt of questions in the hopes of finding a lame reason to not allow Oliver on the board.
It also suggests this election is the defining moment in the future of TPL. It Oliver is elected, the current trustees will be on the way out. Nobody is going to get along and play nice now.
Its all quite annoying as someone that has more shares than one of the trustees and both the CEO and CFO combined. Why not waste more shareholder money….its not impacting them like it is me.
I did snicker at their comment about wanting to send this privately, but since the secret meeting email was disclosed, they are fully sharing. At least they are learning to be more transparent….finally.

Who better to represent shareholders as a trustee than someone with a significant financial stake tin TPL. Plus he has O/G experience

Unless there is a LEGAL requirement for Oliver to answer their questions, he should continue to tell them to go pump sand where the sun don’t shine. There will probably be more dirty tricks tried by the trustees which makes me ask for the 4th time ‘What are they hiding that they don’t want us to see through Oliver’s eyes behind the curtain?” The fact that he doesn’t answer and is duly elected by a majority will not be a cause for action in a lawsuit by the trustees.
Honestly, everyday TPL management opens their mouth and spews more theater of the absurd it makes me want real change more and more. There is a fudiciary responsibility that I feel they are truly ignoring. I think Ted covered it well with his observations. Hopefully we are going to witness meaningful change.
Would putting up a billboard ad for ‘Oliver’ be construed as a non-proxy solicitation? I don’t think so. The proxy may espouse a certain candidate and provide relevant info, but unless the forums or ads provide DEC disclosable data, an ad is an ad, no different than me doing it with my E-Mail list, Does the 1st Amendment ring a bell with anyone? These people have hired incompetent advisors and unsavory legal advice.
Trustees are reaching here to throw mud at the wall and see if anything sticks They have not responded to allegations about their own conflicts of interest. I do wish Oliver had initially completed the questionnaire (assuming Young and the General were asked to do the same and complied) because he is going to join the board with questions lingering about his qualifications and ethics. I’m still voting White, but gotta admit I hope this mess comes to an end soon because every day seems to expose more flaws with our available choices.
Does anyone know if the percentage of the votes will be made public? I’d guestimate 75/25 in White’s favor, and if that is the case, the current Trustees continued throwing good money after bad during the extent of this proxy battle is all the more atrocious.
Required sec filings deal with this stuff quite well. Eric obviously has stakes in TPL through various vehicles and is on investment committees. Conflicts of interests will be managed through filings. Being successful in a relevant field doesn’t preclude you from continuing your career.
Now, will TPL publish Cook’s answers to the questionnaire? Hell, I would settle for him answering any questions.
