Seems like they made it easier to deny or burden with legal fees shareholder proposals and board member nominees that the board dislike. If they were going to amend the by-laws, why not add to the amendments the previously voted on shareholder proposals? That would have been a big step forward in repairing the relationship between the board and the shareholders.
